Terms & Conditions
Last updated: October 1, 2026
These Terms & Conditions govern your use of the Nora Ellis Design website and the design services we provide. Please read them carefully. By accessing our website or engaging our services, you agree to be bound by these terms.
1.
Acceptance of Terms
By accessing or using this website, you confirm that you have read, understood, and agree to these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use the website.
We may update these terms from time to time. Changes take effect when posted, and the “Last updated” date above will reflect the most recent revision. Your continued use of the website after changes are posted constitutes acceptance of the revised terms.
2.
Our Services
Nora Ellis Design provides logo design, brand identity, illustration, and print design services. Information about our services on this website is provided for general purposes and does not constitute an offer that can be accepted to form a contract.
The specific scope, deliverables, timeline, and fees for each project are set out in a written proposal or client agreement. Where that agreement conflicts with these terms, the client agreement will prevail.
3.
Inquiries & Proposals
Submitting an inquiry through our website does not create a client relationship or obligate either party to proceed. A project begins only once a proposal has been accepted in writing and any required deposit has been received.
Proposals are valid for 30 days from the date issued unless otherwise stated.
4.
Fees & Payment
Unless otherwise agreed in writing:
A non-refundable deposit of 50% of the project fee is required to reserve a place in our schedule.
The remaining balance is due before final files are delivered.
Invoices are payable within 14 days of issue.
Work outside the agreed scope, including additional revision rounds, is billed at our standard hourly rate.
We reserve the right to pause work on any project with an overdue balance.
5.
Revisions & Approvals
Each package includes a set number of revision rounds, as described in your proposal. Feedback should be consolidated and provided within the agreed timeframe to keep the project on schedule. Delays in feedback may affect delivery dates.
Written approval of a final design, including approval by email, confirms that the design is complete and ready for final file preparation.
6.
Intellectual Property & Ownership
Upon receipt of full payment, ownership of the final approved design files is transferred to the client, unless otherwise stated in the client agreement. Until full payment is received, all designs remain the property of Nora Ellis Design.
Concepts, sketches, and alternative designs that were not selected remain the property of Nora Ellis Design. Third-party assets such as licensed fonts or stock imagery remain subject to their own license terms, and the client is responsible for obtaining any licenses required for their use.
7.
Portfolio Use
We may display completed work in our portfolio, on our website, and on social media unless the client requests confidentiality in writing before the project begins. We will never share confidential business information as part of our portfolio.
8.

You agree not to use this website in any way that:
Is unlawful, fraudulent, or harmful;
Interferes with the operation or security of the website;

Our website may contain links to third-party websites, including social media platforms. These links are provided for convenience only. We do not control and are not responsible for the content, policies, or practices of any third-party website.
10.
Limitation of Liability
This website and its content are provided “as is” without warranties of any kind. To the fullest extent permitted by law, Nora Ellis Design shall not be liable for any indirect, incidental, or consequential damages arising from your use of the website or our services.
Our total liability for any claim relating to a project shall not exceed the total fees paid for that project.
11.
Cancellation & Termination
Either party may terminate a project with written notice. If a project is cancelled after work has begun, the client will be invoiced for work completed to date, and the deposit will be retained. Files will be released only once all outstanding fees have been paid.
12.
Governing Law
These terms are governed by and construed in accordance with the laws of the State of Maine, United States, without regard to its conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in that state.
